1. Agreement to these Terms

These Terms and Conditions of Service (the "Terms") are a binding contract between you (the "Customer" or "you") and AxonPeps Research LLC, a company based in Salt Lake City, Utah ("AxonPeps", "we", "us", or "our"). They govern your access to axonpeps.us (the "Website") and every purchase of AxonPeps products (the "Products"). Our Privacy Policy and our Shipping & Returns policy, both published on the Website, form part of these Terms.

Before you can browse the Website you confirm that you are 21 or older and that you have read the research-use notice. By creating an account, checking the acceptance box, or placing an order, you agree to these Terms in their entirety, including the Research Use and Compliance Disclaimer in Section 2. If you do not agree, do not create an account, do not order, and leave the Website. We record the date, time, and version of the Terms you accepted.

2. Research Use and Compliance Disclaimer

Before you use the Website or buy a Product, you must read and accept the following. By continuing to use the Website you confirm that you have read and understood this disclaimer, that you are at least 21 years of age, and that you are a qualified researcher or are acting for a research institution or laboratory.

• Products are supplied for in-vitro laboratory research and preclinical scientific investigation only. They are not for human or animal consumption or use in any form.
• Products are not drugs, biologics, dietary supplements, foods, cosmetics, or household products, and must not be used as any of them.
• Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
• Products and the statements on the Website have not been evaluated or approved by the U.S. Food and Drug Administration.
• Nothing on the Website, in our product descriptions, in our communications, or in answers from our automated research assistant is medical advice or guidance on human or animal use.
• It is your sole responsibility to make sure that your purchase, possession, and use of every Product comply with all laws and regulations that apply to you.

3. Eligibility — you must be 21 or older

You must be at least 21 years of age and legally capable of forming a binding contract. By accepting, you affirmatively represent that you meet both requirements.

We may ask for proof of age, and we may refuse, suspend, or cancel any account or order where we have reason to believe the purchaser is underage or has misrepresented their eligibility.

4. Your account

• You need an account to check out. Browsing the Website and filling a cart do not require one.
• Give us accurate, current information and keep it up to date. Each person may hold one account, and email addresses that deliver to the same mailbox count as the same address.
• You are responsible for keeping your password and any two-factor authentication device secure, and for everything done through your account. Tell us promptly through our contact page if you suspect unauthorized access. We recommend turning on two-factor authentication in your account settings.
• We may suspend or close an account that breaches these Terms, that we believe is compromised, or that has been used to place fraudulent orders.

5. Customer representations and warranties

We may refuse access to the Website, and refuse to sell, to anyone who is underage or whom we believe is not a qualified purchaser.

By accepting these Terms and by placing any order, you represent and warrant that:

• You are at least 21 years of age and legally able to enter into a binding contract.
• You are acquiring Products solely for legitimate laboratory research, and you are a qualified researcher or are buying on behalf of a research institution, laboratory, or similar entity.
• You understand the health and safety hazards of handling laboratory chemicals, and you have the training, equipment, and facilities to handle the Products safely.
• You will not use, administer, resell, or supply any Product for human or animal consumption.
• You will comply with all federal, state, local, and international laws that apply to buying, importing, possessing, and using research materials, including any registration, licensing, or purchasing restriction in your jurisdiction.
• You understand that some compounds may not appear on chemical-inventory registers such as the U.S. Toxic Substances Control Act (TSCA) inventory, or may be subject to other regulatory requirements, and you accept responsibility for confirming that your intended research use is permitted.
• Everything you tell us at registration, at checkout, and in any verification request is true and complete.

6. Handling, storage, and permitted use

Products must be handled only by trained personnel using appropriate laboratory safety equipment, and stored under the conditions listed for each Product on its page and label. AxonPeps is not responsible for loss, damage, or injury resulting from improper handling, storage, or use of a Product.

Products may be used solely for your own internal research. You may not resell, relabel, or redistribute a Product for human or animal use.

7. FDA and legal disclaimer

The statements and information on the Website have not been evaluated by the U.S. Food and Drug Administration. AxonPeps Research LLC is a research-use-only chemical supplier. It is not a compounding pharmacy, a medical provider, or an outsourcing facility under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. All Products are labeled and sold for research use only.

8. No medical, dosing, or administration advice

Nothing on our website, in our product descriptions, in communications from our staff, or in responses from our automated research assistant constitutes medical advice or guidance on human use.

We do not and will not provide dosing, administration, reconstitution-for-use, cycling, or protocol guidance for human or veterinary application. Product descriptions summarize published scientific literature for informational context only and are not claims about any effect in humans.

If you ask us for that kind of guidance we will decline. A request for it may be treated as a sign that a purchase is not for a permitted purpose, and we may cancel the order or close the account.

9. Prohibited uses and conduct

You may not use, and may not let anyone else use, a Product or the Website for any of the following:

• Human or animal consumption, ingestion, injection, inhalation, or topical application.
• Diagnostic, therapeutic, or clinical purposes.
• Compounding under Section 503A or 503B of the Federal Food, Drug, and Cosmetic Act.
• Performance-enhancement, cosmetic, or aesthetic purposes.
• Any consumer, agricultural, or commercial application outside legitimate laboratory research.
• Educational or other demonstrations involving human or animal subjects.
• Misrepresenting your age, identity, credentials, or intended use.
• Reselling Products in a way that breaches these Terms or the law.
• Circumventing or interfering with the Website's security features, including age verification and access controls.
• Scraping, harvesting, or systematically extracting data from the Website by automated means, or attempting to gain unauthorized access to any account, system, or database.

10. Enforcement

This list is not exhaustive. If anything you tell us, or anything we observe, leads us to believe that you intend to use a Product in a prohibited way, we may, without notice: cancel pending orders (refunding any amount paid for an order that has not shipped), suspend or close your account, and refuse future sales to you. We may keep a record of that decision so that it is applied consistently to later orders.

11. Verification and due diligence

We may ask you to verify your identity, your age, or your affiliation with a laboratory, institution, or research organization before we fulfil an order or at any time afterwards. If you do not provide what we reasonably ask for within five (5) business days, we may cancel the order and refund what you paid for it. Where we cancel for that reason, that refund is our only obligation.

12. Use of the Website and intellectual property

You may view, download, and print material from the Website for your own internal, non-commercial research use, provided that you keep every copyright, trademark, and other notice intact and do not modify the material. You may not otherwise copy, republish, sell, license, or distribute Website content, or use automated means to access it, without our prior written consent.

Content on the Website, including our text, design, certificates of analysis, and trademarks, belongs to AxonPeps or its licensors. Listing a Product does not grant any licence under any patent or other right of a third party, and trademarks that are not ours remain the property of their owners.

13. Availability and changes to the Website

We may correct errors or inaccuracies, and may change or remove content, prices, and Product availability at any time without notice. We are not liable to you or anyone else for any such change, or for suspending or discontinuing the sale of any Product.

We do not promise that the Website will be uninterrupted, timely, secure, or error-free, and we may take it offline at any time. You use the Website at your own risk.

14. Orders, pricing, and acceptance

All prices are in U.S. dollars. Prices exclude shipping and any taxes, duties, or import charges, which are your responsibility except where collected at checkout. Prices and availability may change without notice.

Prices and listings on the Website are invitations to order, not offers. Placing an order is your offer to buy. An order confirmation email confirms that we received your order and is not our acceptance; we accept your order, and a contract for it is formed, when we ship it.

You must give us current, complete, and accurate contact, shipping, and payment information. We may limit quantities and may decline or cancel any order in our discretion, including where we suspect fraud, a non-research purpose, an ineligible destination, or a pricing or listing error. If we cancel an order after you have paid, our sole obligation is to refund the amount you paid for it.

Batch assignment and certificate of analysis data are published in our COA Library. The batch identifier printed on your vial identifies its exact lot and test results.

We reject any terms in your purchase orders, invoices, or other documents that add to or conflict with these Terms.

15. Payment

Payments are processed by our third-party payment processor, Stripe. Card details are entered on the processor's hosted page and are never transmitted to or stored on our servers. You represent that you are authorized to use the payment method you provide. The payment methods available are those shown at checkout.

Wholesale orders are invoiced on the terms stated on the invoice, and we may pause fulfilment for an account with an overdue invoice.

If there is a problem with an order, please contact us first through our contact page; we can usually resolve it faster than a bank dispute. A payment dispute filed without first giving us a reasonable chance to resolve the problem, or filed in bad faith on an order that was delivered as described, may result in account termination and referral for collection, and we may give the payment processor our delivery and acceptance records to contest it.

16. Subscriptions and automatic renewal

If you choose Subscribe & Save, you are enrolling in a recurring purchase. It renews automatically at the interval and at the discounted price shown at checkout, and your payment method is charged for each shipment, until you cancel. The discount applies to each renewal for as long as the subscription remains active.

The recurring amount, the interval, and the fact that the subscription renews automatically are shown before you complete checkout, and your agreement to them is a condition of enrollment. Card details are stored and charged by our payment processor, not by us.

You may cancel at any time, with no fee and no minimum term, from Manage subscription in your account dashboard. Cancellation takes effect at the end of the current billing period. We may change the price of a subscription for future renewals; a change will not affect a renewal you have already been charged for, and you may cancel before the next renewal if you do not accept it. Each shipment is filled from current inventory, so the batch can differ from one shipment to the next; every batch has its own published certificate of analysis.

17. Shipping and delivery

Our Shipping & Returns policy sets out cut-off times, delivery estimates, shipping charges, and the destinations we serve, and forms part of these Terms. We ship only to the destinations offered at checkout, and we may refuse or cancel a shipment to an address we consider high-risk or where the sale would be unlawful.

You are responsible for giving us an accurate and complete shipping address. We are not liable for delays, losses, or the cost of reshipping that result from an incorrect or incomplete address, and we will make reasonable efforts to tell you about an apparent address problem before we ship.

Title and risk of loss pass to you when the carrier receives the order. We pack cold-chain where a Product requires it, but we cannot control carrier delays. For orders shipped outside the United States you are the importer of record and are responsible for customs duties, import taxes, permits, and restrictions in the destination country.

18. Returns and refunds

Because Products are laboratory research materials, we cannot accept returns of opened, reconstituted, or used vials, for safety and integrity reasons. Please inspect each shipment when it arrives.

If a shipment arrives damaged, is missing an item, or is incorrect, or the batch identifier on a vial does not match its published certificate of analysis, contact us through our contact page within 14 days of delivery with your order number and photographs. Once we verify the problem, we will issue a replacement or a refund. Unopened, unused items may also be returned within 14 days of delivery for a refund less the original shipping cost, as set out in our Shipping & Returns policy.

19. Disclaimer of warranties; no guarantee of results

THE WEBSITE AND THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR RESEARCH USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We warrant only that each batch conforms to the identity and purity results stated on its published certificate of analysis at the time of testing. We make no representation about experimental outcomes, about performance in any particular application, or about consistency between batches beyond the published results. We make no warranty of fitness for any human or veterinary application, and any such use is an unauthorized use that voids all warranties.

20. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXONPEPS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR RESEARCH, ARISING FROM OR RELATED TO THE WEBSITE OR THE PURCHASE, HANDLING, STORAGE, OR USE OF ANY PRODUCT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR ANY INJURY OR DAMAGE ARISING FROM USE OF A PRODUCT THAT BREACHES THESE TERMS.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

21. Indemnification

You agree to indemnify, defend, and hold harmless AxonPeps and its owners, officers, employees, and suppliers from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse or mishandling of any Product, any use of a Product for human or veterinary consumption, or any claim by a third party that results from your acts or omissions.

22. Privacy and data

Our Privacy Policy describes what we collect and why, and forms part of these Terms. We retain records of your acceptance of these Terms — including timestamp, IP address, browser user agent, and the version and content hash of the text shown to you — as evidence of the contract between us, and we retain order and batch records as required for regulatory and accounting purposes.

23. Third-party services and links

We rely on third-party providers, such as our payment processor and hosting providers, and the Website links to third-party services such as our Discord community. We do not control and are not responsible for third-party sites or services; their own terms and privacy policies apply.

24. Dispute resolution and arbitration

Please contact us first. Before starting any formal proceeding, each party agrees to try in good faith to resolve the dispute informally for thirty (30) days after written notice of it. You can give notice through our contact page; we will give notice to the email address on your account.

If the dispute is not resolved, it will be decided by binding individual arbitration administered by the American Arbitration Association under its rules that apply to the dispute, rather than in court. Either party may instead bring an individual claim in small claims court, and either party may ask a court for an injunction or other equitable relief to protect its intellectual property or confidential information.

YOU AND AXONPEPS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

You may opt out of this arbitration provision by sending notice through our contact page, with the subject line "Arbitration opt-out", within 30 days of first accepting these Terms. Opting out does not affect any other provision.

Arbitration will take place in Salt Lake County, Utah, or by video conference if the parties agree. Any court proceeding permitted by this section will be brought in the state or federal courts located in Salt Lake County, Utah, and each party consents to that jurisdiction.

25. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles, and excluding the U.N. Convention on Contracts for the International Sale of Goods.

26. Force majeure

We are not liable for a delay or failure caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, supplier failures, and transportation, customs, or postal disruption. We will make reasonable efforts to tell you about a significant delay. If such an event delays an order by more than sixty (60) days, either of us may cancel the affected order and we will refund what you paid for it.

27. Changes to these Terms

We may update these Terms. Material changes will be published with a new version number and effective date, and we may also notify you by email at the address on your account. Continued use or a new order after the effective date requires fresh acceptance, which we will ask for the next time you sign in or order. Prior acceptances remain valid for the transactions they governed. If you do not agree to the updated Terms, your sole remedy is to stop using the Website and Products.

28. Termination and general terms

We may suspend or terminate your account at any time for breach of these Terms. The provisions on research use, your representations and warranties, prohibited uses, warranties, limitation of liability, indemnification, dispute resolution, and governing law survive termination.

If any provision is held unenforceable, it will be reformed to the minimum extent needed to make it enforceable while preserving its intent, or otherwise limited or removed, and the remainder stays in force. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor. Headings are for reference only.

These Terms, together with the Privacy Policy and the Shipping & Returns policy, are the entire agreement between us regarding the Website and the Products and supersede any prior understanding.

BY CREATING AN ACCOUNT OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. YOU SPECIFICALLY ACKNOWLEDGE THAT ALL PRODUCTS ARE FOR RESEARCH USE ONLY AND ARE NOT INTENDED FOR HUMAN OR ANIMAL CONSUMPTION OR FOR DIAGNOSTIC, THERAPEUTIC, OR CLINICAL USE, AND THAT MISUSE OF PRODUCTS MAY RESULT IN CIVIL AND CRIMINAL LIABILITY. AXONPEPS HAS NO LIABILITY FOR ANY UNAUTHORIZED OR IMPROPER USE OF ITS PRODUCTS.
